By accessing our Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Site or Services.

2. Use of Our Website

You agree to use our Site only for lawful purposes. You must not:

  • Use the Site in any way that breaches applicable local, national, or international law
  • Attempt to gain unauthorized access to our Site, servers, or any systems connected to it
  • Introduce viruses, malware, or other harmful material through the Site
  • Copy, reproduce, or distribute content from the Site without our written permission

3. Services We Provide

Specific services, deliverables, pricing, timelines, and scope of work for any engagement will be outlined in a separate proposal, quotation, or service agreement provided directly to the client. These Terms apply in addition to, and alongside, any such agreement. Where there is a conflict between these Terms and a signed service agreement, the signed agreement will take precedence.

  • Google Ads and Meta Advertising management
  • Performance marketing and lead-generation campaigns
  • Social media marketing and content management
  • Graphic design and creative services

4. Client Responsibilities

To deliver our Services effectively, clients agree to:

  • Provide accurate, complete, and timely information required for campaigns, content, or website work
  • Provide necessary access to accounts (e.g. Google Ads, Meta Business Suite, website hosting, domain, or social media accounts) as required for us to perform the Services
  • Review and approve deliverables (campaigns, creatives, content, website pages) within agreed timeframes
  • Ensure that any content, logos, images, or materials provided to us for use in campaigns or on the website do not infringe on third-party rights

Delays in providing access, information, or approvals may affect project timelines and results, and AXYVEN is not responsible for delays caused by client non-responsiveness.

5. Payments & Fees

  • Fees for our Services will be outlined in the applicable proposal, quotation, or invoice.
  • Monthly retainer services are billed in advance unless otherwise agreed in writing.
  • Project-based services (e.g. website development) may require a deposit before work begins, with the balance due upon completion or per an agreed milestone schedule.
  • Late payments may result in a pause of ongoing services (including active ad campaigns) until outstanding amounts are settled.
  • Any third-party costs (e.g. ad spend on Google/Meta, domain registration, hosting, premium plugins/themes, stock assets) are separate from our service fees unless explicitly stated otherwise, and are the client’s responsibility.

6. Advertising Spend Disclaimer

Where we manage paid advertising campaigns (Google Ads, Meta Ads, or other platforms) on a client’s behalf:

  • Ad spend budgets are set and approved by the client and are separate from our management fees.
  • We do not guarantee specific results (such as a fixed number of leads, sales, rankings, or return on ad spend), as advertising performance depends on multiple factors outside our control, including market conditions, competition, platform algorithm changes, and client-side conversion factors (e.g. website performance, sales follow-up).
  • We will provide regular performance reporting and work to optimize campaigns based on data and best practices.

7. SEO & Marketing Disclaimer

Search engine rankings, AI-platform visibility (AEO/GEO), and organic traffic growth are influenced by factors outside our direct control, including search engine algorithm updates, competitor activity, and industry trends. While we apply current best practices to improve visibility and rankings, we do not guarantee specific rankings, traffic numbers, or timeframes for results.

8. Intellectual Property

  • Upon full payment for a project (e.g. a website, campaign creatives, or brand assets), ownership of the final agreed deliverables transfers to the client, unless otherwise stated in a signed agreement.
  • AXYVEN retains the right to showcase completed work (including website designs, campaign creatives, and results) in our portfolio, case studies, and marketing materials, unless the client requests confidentiality in writing.
  • Any tools, frameworks, templates, or proprietary processes used by AXYVEN to deliver Services remain the property of AXYVEN.
  • Content, trademarks, and materials on the axyven.com website itself remain the property of AXYVEN and may not be copied or reused without permission.

9. Third-Party Platforms

Our Services may involve the use of third-party platforms (e.g. Google, Meta, WordPress, Shopify, WooCommerce, hosting providers). AXYVEN is not responsible for outages, policy changes, account suspensions, or service interruptions caused by these third-party platforms, though we will work to resolve any such issues where possible.

10. Limitation of Liability

To the fullest extent permitted by law, AXYVEN shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our Site or Services, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total liability for any claim arising from our Services shall not exceed the total amount paid by the client to AXYVEN for the specific Service giving rise to the claim in the preceding three (3) months.

11. Termination

Either party may terminate an ongoing service agreement in accordance with the notice period specified in the applicable proposal or service agreement (commonly 30 days for retainer-based services, unless otherwise agreed). Fees for work completed up to the termination date remain payable.

12. Confidentiality

Both parties agree to keep confidential any non-public business, financial, or strategic information shared during the course of the engagement, and not to disclose it to third parties without written consent, except as required by law.

13. EU Consumer Rights

If you are a consumer based in the EU/EEA engaging our Services outside of a business capacity, you may have additional rights under EU consumer protection law, including rights related to distance contracts and, in some cases, a right of withdrawal. These Terms do not limit any statutory rights you’re entitled to under Portuguese or EU law. As AXYVEN’s Services are primarily provided to businesses (B2B), specific consumer withdrawal rights typically do not apply to standard client engagements — but this should be confirmed with a legal professional if you plan to offer services directly to individual consumers.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Portugal. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services or for legal and operational reasons. The updated version will be posted on this page with a revised “Last updated” date. Continued use of our Site or Services after changes are posted constitutes acceptance of the updated Terms.
